Terms & Conditions

Effective Date: April 2, 2026

These Terms of Service ("Terms") govern access to and use of the Sloth Tech Clinical Suite application, websites, and related services (collectively, the "Service") provided by Sloth Technologies ("we", "us", or "our").

By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the healthcare organization that authorized your access. If you do not agree, do not use the Service.

1. Intended Users

The Service is intended for authorized workforce members, clinicians, staff, contractors, and other permitted users of healthcare organizations that have authorized access to the Service. You may use the Service only for legitimate, authorized healthcare operations or other permitted purposes approved by your organization.

2. Relationship to PointClickCare

The Service may connect to PointClickCare and may display, process, summarize, or reconcile data made available through authorized PointClickCare integrations. PointClickCare remains a separate product and service. Your use of PointClickCare remains subject to PointClickCare's own terms, permissions, and access controls.

3. Authorized Access and Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • Using the Service only within the scope of your authorized role

  • Promptly reporting suspected unauthorized access, misuse, or security issues

We may suspend or restrict access if we reasonably believe there is a security, privacy, compliance, or misuse concern.

4. Permitted Use

You may use the Service only for lawful and authorized internal business or clinical workflow purposes. You may not:

  • Use the Service to access data you are not authorized to access

  • Interfere with system integrity, security, or availability

  • Reverse engineer or attempt to extract protected source code except as permitted by law

  • Use the Service to create or distribute misleading clinical output

5. Clinical and AI Limitations

The Service may provide workflow support, retrieval assistance, summaries, reconciliation support, or AI-generated output. The Service is not a substitute for clinician judgment, the official patient chart, or the source record in PointClickCare or another designated system of record.

AI-generated or system-generated output must be reviewed by qualified personnel before clinical reliance, documentation, communication, or downstream action.

6. Customer Data and Protected Health Information

As between the parties, customer data remains controlled by the customer or its data licensors, subject to applicable law and contractual terms. We process customer data, including protected health information where applicable, only as authorized by the customer relationship, applicable law, and our agreements with the customer.

7. Privacy

Our handling of personal information is described in the Privacy Policy available at https://www.slothtechnologies.com/privacy-policy.

8. Availability, Changes, and Support

We may modify, update, limit, or discontinue parts of the Service from time to time. We will use commercially reasonable efforts to provide support through the channels listed at contact@sloth-technologies.com, but we do not guarantee that the Service will be uninterrupted or error-free.

9. Third-Party Services

The Service may rely on third-party infrastructure, cloud services, EHR integrations, or AI services. We are not responsible for outages or failures caused by third-party systems outside our reasonable control.

10. Intellectual Property

We and our licensors retain all rights, title, and interest in the Service, excluding customer data and third-party materials.

11. Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS EXCEPT AS OTHERWISE EXPRESSLY AGREED IN WRITING. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT OUTPUT WILL ALWAYS BE COMPLETE, ACCURATE, OR FIT FOR CLINICAL USE WITHOUT HUMAN REVIEW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLOTH TECHNOLOGIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, REVENUE, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE.

IF A DIFFERENT LIABILITY ALLOCATION IS REQUIRED FOR A CUSTOMER CONTRACT, THAT CUSTOMER CONTRACT WILL CONTROL OVER THIS PUBLIC PAGE.

13. Termination

We may suspend or terminate access if required for security, legal, contractual, or policy reasons, or if the customer relationship ends.

15. Governing Law

These Terms are governed by the laws of Maryland, without regard to conflict of laws principles, unless a separate written customer agreement states otherwise.
